These Terms of Service ("Terms") govern your access to and use of the fripy website, mobile application, and all related services (collectively, the "Platform"). By creating an account or using the Platform, you agree to be bound by these Terms. If you do not agree, please do not use the Platform.

1. Eligibility

You must be at least 18 years of age and capable of forming a legally binding contract under Indian law (including the Indian Contract Act, 1872) to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

2. About fripy

fripy is an online retail platform that sells brand-new clothing and accessories directly to customers. Our stock is sourced from brand and manufacturer overruns (unsold, unworn pieces, most with tags on). We source, inspect, photograph, and list each item ourselves. fripy is not a marketplace or multi-vendor platform — all items are sold directly by us.

3. Account registration

  • You must provide accurate, complete, and current information during registration
  • You are responsible for maintaining the confidentiality of your login credentials
  • You are responsible for all activity that occurs under your account
  • Notify us immediately at [email protected] if you suspect unauthorised access
  • We reserve the right to suspend or terminate accounts that violate these Terms

4. How the Platform works

Browsing and reservations

Every item on fripy is one-of-a-kind. Swiping right on an item reserves it for you for 10 minutes. A reservation is not a purchase — the item is only yours once your order is confirmed and payment is completed (or accepted for Cash on Delivery). Reservations expire automatically if not converted to an order.

Ordering

Once you confirm an order and complete payment, we begin processing it for dispatch. Order confirmation is sent via email and in-app notification. All orders are subject to availability and our acceptance.

5. Pricing and payments

  • All prices are displayed in Indian Rupees (₹ / INR) and are inclusive of applicable taxes unless stated otherwise
  • Prices are as listed on the Platform at the time of order
  • We accept payments via UPI, credit/debit cards, net banking, and Cash on Delivery (COD)
  • Payment processing is handled by our authorised payment partner(s) in compliance with RBI guidelines
  • We do not store your full card details — all payment data is handled by PCI-DSS compliant partners

6. Items and condition

All items are brand-new stock and sold as described. Each listing includes photographs, measurements, and any known marks. Because these are overrun pieces (unsold, unworn stock), an occasional minor issue or small flaw — always disclosed on the product page and reflected in the price — can occur and does not constitute a defect.

We make every effort to describe items accurately. However, colours may appear slightly different on screen due to display settings.

7. Shipping and delivery

Shipping charges, delivery timeframes, and delivery policies are detailed in our Shipping Policy. By placing an order, you agree to the terms outlined therein.

8. Returns, refunds, and cancellations

Our return eligibility criteria, process, refund timelines, and cancellation policy are detailed in our Return & Refund Policy. By placing an order, you agree to the terms outlined therein.

Key highlights:

  • Returns accepted only for damaged, not-as-described, or wrong items within the stated return window of delivery
  • We do not offer taste/size-based returns — please check measurements before ordering
  • You may request an exchange for a different size instead of a refund, subject to availability
  • Cancellations are accepted before an order is shipped
  • Prepaid refunds go to the original payment method; COD refunds (or your chosen option) are credited to your fripy Wallet — see the next section

8A. Store credit & the fripy Wallet

Some refunds, rewards (Daily Spin, scratch cards), and promotional credits are issued as fripy Wallet credit. You agree that:

  • Wallet credit is store credit — it can be redeemed only toward purchases on fripy and has no cash value. It cannot be withdrawn, transferred, or converted to cash.
  • Promotional credit (from rewards) may cover only a limited percentage of an order's value (currently up to 20% of the subtotal per order). Refund credit (your own money returned) is fully usable.
  • Wallet credit is non-transferable, tied to your account, and may be forfeited if the account is closed or found to be abusing rewards/promotions.
  • We may adjust reward values and caps at any time; changes are not retroactive to credit already granted.

8B. Creator program & commissions

Approved creators can earn commission by referring orders via their link or personalised coupon. By participating you agree that:

  • Commission is earned only on eligible, delivered orders and becomes withdrawable only after the applicable return window has elapsed. Cancelled or returned orders reverse the related commission.
  • You may not earn on your own purchases. Using your own coupon on your own account, or shipping to your own contact details, is prohibited (self-dealing) and will be voided.
  • Bank/UPI payout details are locked once saved for your security; changes require contacting support. Wallet payouts settle instantly; bank/UPI payouts are reviewed and released by fripy, with tax deducted at source as required by law.
  • fripy may adjust commission rates, bonuses, and program rules, or suspend/terminate a creator for fraud, abuse, or policy violations.

9. Prohibited conduct

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable law
  • Create multiple accounts to abuse promotions or offers
  • Interfere with or disrupt the Platform's infrastructure or security
  • Attempt to access another user's account without authorisation
  • Use bots, scrapers, or automated tools to access the Platform
  • Misuse the return or refund process
  • Harass, abuse, or harm other users or our team

10. Intellectual property

All content on the Platform — including product photographs, descriptions, logos, designs, software code, and branding — is owned by or licensed to fripy and is protected by Indian copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission.

11. Privacy

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information. By using the Platform, you consent to the practices described in the Privacy Policy.

12. Limitation of liability

To the maximum extent permitted by applicable law, fripy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform.

Our total liability for any claim arising from or related to these Terms shall not exceed the amount paid by you for the specific order giving rise to the claim.

13. Disclaimer

The Platform and all services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding merchantability, fitness for a particular purpose, or uninterrupted availability of the Platform.

14. Indemnification

You agree to indemnify and hold harmless fripy, its officers, employees, and partners from any claims, damages, losses, or expenses (including legal fees) arising from your breach of these Terms or misuse of the Platform.

15. Modifications to Terms

We may update these Terms from time to time. When we make significant changes, we will notify you via email or in-app notification. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

16. Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Delhi, India.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
